we are about to release a product, this product will be an installer. Different vendors can upload their files to our website and we generate an installer to deploy them by vendors clients. We are looking for 2 different Terms of Services for our needs:
a) to regulate the relationship between us and vendors. This will be agreed by account creation usually. Generally we need to disclosure our responsibility on different points
b) to regulate the relationship between us and vendors client (so end user who is installing). This will be shown by installation process to client. Generally we will need to disclosure everything which may be caused by this installer and push the responsibility to vendor
Of course i will send suggestions what to disclosure in the TOS contract but i also need feedback from legal helper (you) what we need to disclosure. Of course we want to generate a TOS which will be held very generally and timeless as possible.
Payments will be put to escrow by 100% but released only upon finalizing.
