Copyright & Internet Law: Give our team a legally binding explanation for/against commercial use of instant previews + adding that to our existing terms and conditions (US & European law) + write Collaboration Agreement

We are going to release a search engine for electric vehicle owners. Our website project is based on the fact that we wanna display screenshots of hundreds of websites, also known as „instant previews“. Those screenshots get automatically renewed every night and show the upper top of our listed websites in a preview window.
 (see attached photos) What we know: Google, Yahoo and many other websites still use or used „instant previews“, but some of them removed it over low usage from searchers. That’s the official reason. 
 YOUR TASK: Giving our team a legally binding explanation for or against our commercial use of instant previews on our website and adding that to our existing terms and conditions. It must be compatible with US & European law. In case your legal research come to the result, it would be not legal at all, your task would be to write a legal text which might be agreed/signed by all the desplayed website owners to make the instant screenshotting legal for us. Minor additional task: Create/write a collaboration agreement for us. We send you the bullet points and you return us a collarboration agreement which is ready to be signed by our company here in Germany and our partner team in the US. Please ensure that the agreement is legally correct referred EU and US law.
